Terms of Use
Welcome, and thank you for your interest in Zultus (“Zultus,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of zultus.com, our websites, applications, and related services (collectively, the “Services”), including any content, listings, tools, communications features, and other materials provided through the Services.
By creating an account, clicking “Register,” “Join,” or similar buttons, or by using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. What Zultus Is (and Isn’t)
Zultus is a real estate transaction facilitation marketplace that may help users market property, discover property listings, communicate with real estate professionals, and document certain collaboration activities (including co-broking requests where available).
Zultus does not provide legal, financial, real estate, valuation, mortgage, tax, or investment advice. Any information on the Services is for informational purposes only. You should consult qualified professionals before acting on any information.
Zultus is not a real estate brokerage, agent, valuator, lender, or insurer unless explicitly stated otherwise on the Services, and Zultus is not a party to any agreement between users.
2. Definitions
- “User” means any person who accesses or uses the Services.
- “Public User” means a user browsing or searching listings without a professional account.
- “Professional User” means a real estate agent, broker, brokerage, developer, or other industry participant using the Services in a professional capacity.
- “Listings” means property information, images, videos, descriptions, and related data posted to the Services.
- “User Content” means any content you upload, submit, transmit, or display on the Services (including Listings, messages, images, and documents).
- “Co-broke Tools” means any features that allow Professionals to request collaboration, propose commission splits, and store records of such interactions.
3. Eligibility and Accounts
You must be at least 18 years old to use the Services.
If you create an account, you agree to:
- Provide accurate, current information
- Keep your login credentials confidential
- Be responsible for all activity under your account
- Notify us promptly of any unauthorized use
We may require Professional Users to complete identity and/or business verification. We may approve or reject Professional accounts at our discretion, subject to applicable law.
4. Professional Use and Client Permissions
If you use the Services as a Professional User, you represent and warrant that:
- You have all licenses/permissions required by applicable law to provide real estate services, if applicable
- You have the necessary permissions and consents to upload any client data or documents
- You will use the Services in compliance with all applicable laws and professional obligations
5. Use of the Services and Acceptable Use
You may use the Services for lawful purposes only.
You agree not to:
- Use the Services to violate any law or regulation
- Upload malware, viruses, or malicious code
- Attempt to gain unauthorized access to accounts, systems, or data
- Scrape, crawl, or use automated tools to extract content or data without our written permission
- Post misleading, false, or fraudulent listings or content
- Harass, threaten, defame, discriminate, or otherwise harm others
- Impersonate any person or misrepresent your identity or affiliation
- Use the Services to build or support a competing product using our content, data structure, or platform features
- Interfere with the performance or security of the Services
We may suspend or terminate accounts for violations.
6. Listings and Listing Standards
6.1 Accuracy and Responsibility
Listings are provided by Users. You are responsible for the accuracy, completeness, legality, and currency of any Listing you post or share.
6.2 Listing Rights
By posting a Listing, you confirm you have the rights and permissions to share:
- The property data
- All photos/videos/media
- Any associated marketing materials
6.3 Moderation
We may review, modify, reject, remove, or limit distribution of Listings at any time to:
- Maintain data quality and integrity
- Address complaints or disputes
- Comply with legal requirements
- Enforce these Terms
7. Co-broke Tools and Records (Where Available)
The Co-broke Tools are provided to help Professionals document collaboration. Zultus is not a party to any co-broking agreement.
- Any proposed split, term, or arrangement is strictly between the participating Professionals.
- Zultus does not guarantee payment of commissions or enforce commission agreements.
- Users are responsible for ensuring their co-broking conduct complies with applicable laws, association rules, and ethical obligations.
We may provide templates for convenience only. Templates are not legal advice.
8. Communications Through the Platform
The Services may allow messaging, contact forms, or other communication methods.
You agree that:
- Communications may be logged for security, audit, or support purposes
- You will not use the Services to send spam or unsolicited commercial messages
- We may restrict messaging features to protect users and platform integrity
9. Third-Party Links and Services
The Services may link to third-party websites or services (e.g., maps, payment providers, messaging tools). Third parties are responsible for their services. Your use of third-party services is subject to their terms and policies.
Zultus does not endorse third-party services and is not responsible for them.
10. Fees, Billing, Subscriptions, and Refunds
Some Services may require payment (e.g., Professional subscriptions, featured listings, advertising placements).
- Fees are displayed at the point of purchase.
- Unless required by law, fees are non-refundable.
- Subscription services renew automatically unless canceled before renewal (where applicable).
- We may change fees with advance notice.
If payment is processed via a third-party processor, you agree to their terms as well.
11. User Content License (What You Allow Zultus To Do)
By submitting User Content, you grant Zultus a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, and make your content available as necessary to operate and promote the Services.
This license:
- Allows Listings to appear in search results, sharing links, and marketing pages
- Does not transfer ownership of your content to Zultus
You remain responsible for your User Content.
12. Intellectual Property
Zultus and its logos, software, design, and platform elements are owned by Zultus or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, lease, or reverse engineer the Services except as permitted by law.
13. Copyright and Content Complaints
If you believe content on the Services infringes your rights, contact us at:
legal@zultus.com (or your designated legal email)
Include: your contact info, the content URL, proof of rights, and a request for removal or correction.
We may remove content and take additional action, including account suspension, where appropriate.
14. Privacy
Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms.
15. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZULTUS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON-INFRINGEMENT, AND ACCURACY.
Zultus does not guarantee:
- The accuracy of Listings
- The identity, licensing, or conduct of any user
- That any transaction will be completed successfully
- That the Services will be uninterrupted or error-free
16. Limitation of Liability
To the maximum extent permitted by law, Zultus will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, goodwill, or data.
To the extent permitted by law, Zultus’s total liability for any claim relating to the Services is limited to the amount you paid us (if any) in the 12 months before the event giving rise to the claim.
17. Indemnity
You agree to indemnify and hold harmless Zultus, its directors, officers, employees, and agents from claims arising out of:
- Your use of the Services
- Your violation of these Terms
- Your User Content
- Your dispute with any other user or third party
18. Suspension and Termination
We may suspend or terminate your account or access to the Services at any time if we believe you violated these Terms, pose a risk to other users, or for operational or legal reasons.
You may stop using the Services at any time. If you cancel paid services, you remain responsible for fees incurred up to cancellation.
19. Changes to the Services and Terms
We may update these Terms or modify the Services. If changes are material, we will take reasonable steps to notify you. Continued use after updates means you accept the updated Terms.
20. Governing Law and Dispute Resolution
These Terms are governed by the laws of Trinidad & Tobago, without regard to conflict-of-law rules.
Courts located in Trinidad & Tobago shall have exclusive jurisdiction unless otherwise required by law.
